When having a careful look at the datasheets you will notice that both chips ARE different! Have a look for instance at the tf (Vcc fall time) specification: The fall time from 4.75V to 4.25V must be a minimum of 10µsec for the MAX1232, but 300µsec for the DS1232. That's a huge difference!
